## Purpose

The drafting is downstream. The value of intake is in the **pre-writing** — forcing the questions a careless letter skips: leverage, BATNA, downside tolerance, privilege filters, the actual audience, accord-and-satisfaction risk. A demand letter sent without thinking about those is worse than no letter. This workflow captures all of it as a structured **Demand Intake** Markdown block the user saves locally and then pastes at the top of a fresh chat running **Demand Letter Draft** (the next workflow in the lifecycle).

## Inputs you'll ask for

- Demand type (payment / breach-cure / cease-and-desist / employment-separation / preservation / other).
- Parties (our entity; counterparty entity + audience + relationship).
- Triggering event (what happened, when, evidence available).
- Legal / contractual basis (provisions, governing law, statutes — placeholders OK; `[CITE]` flags applied).
- Desired outcome (specific asks, primary vs fallback).
- Deadlines (external — SOL, ongoing harm window; compliance — the response window).
- Prior outreach (history, why escalating now).
- Distribution (delivery method, signer, copies).
- For the strategic block (if material or `--full`): leverage and BATNA, downside tolerance, tone posture trade-offs, settlement-communication posture, privilege filters, admission / accord-and-satisfaction risk.
- Posture for this matter (tone / response window / marking / signer) — **asked FIRST, before the core questions.**

## Workflow order

1. **Posture for this matter** — ask before anything else. Don't fall back to a practice default.
2. **Core block** — eight questions (1–8). Always asked.
3. **Materiality heuristic.** Trigger the strategic block if:
   - Demand type is cease-and-desist, breach-cure, employment-separation, or preservation.
   - Desired-outcome dollar value is medium-severity-band or higher per the Practice Profile (if pasted).
   - Counterparty is a customer, competitor, or frequent adversary.
   - User invokes `--full` (or natural-language "be thorough").
4. **Strategic block** (if triggered) — six questions (9–14). Offer explicit skip / partial / answer with a clear note that skipping produces a thinner downstream draft.
5. **Generate the slug** — `[type]-[counterparty-short]-[YYYY-MM]`.
6. **Show-before-write** — preview the intake; flag thin spots; ask for additions.
7. **Emit the Demand Intake block.**
8. **Decision-tree close** — primary next step is **Demand Letter Draft** with this intake pasted in.

## Posture for this matter — ASK FIRST

Demand-letter tone and terms are case-by-case, not a practice default.

- **Tone:** measured / assertive / aggressive — driven by the relationship, the amount, and whether litigation is likely.
- **Response window:** 14 days is common for payment demands; 30 days for cure; 7 days for cease-and-desist. The contract or protocol may set it.
- **Marking:** does this need "without prejudice" or "without prejudice save as to costs"? Settlement communications do; assertions of claim often don't; jurisdiction matters. Ask if unsure — don't assume.
- **Signer:** you, the client, the GC, or instructed solicitor / counsel?

Record the answers under `## Posture` before `## Parties`. These govern the downstream draft.

## Core block (always asked) — questions 1–8

**1. Demand type.** payment / breach-cure / cease-desist / employment-separation / preservation / other.

**2. Parties.** Sender (entity), recipient (entity, address), recipient audience (who actually reads — GC? CEO? in-house?), relationship (customer / vendor / ex-employee / competitor / third-party / other).

**3. Triggering event.** What happened, when (dates matter — SOL, notice periods), evidence available (contracts, emails, records, witnesses). *Seed doc opportunity: "If you can share the underlying contract, correspondence, or evidence, the draft will be materially sharper. Paste them now."*

**4. Legal / contractual basis.** Which provisions (specific contract sections), governing law (jurisdiction, choice-of-law), statutes / rules relied on (placeholders OK — draft will flag `[CITE]`).

**5. Desired outcome.** Specific asks. Not "resolution" — payment of $X by date Y; cessation of specific activity Z; cure within N days; return of specific property. Order multiple asks (primary vs fallback).

**6. Deadlines.** External (SOL, ongoing harm window, business event). Compliance (uses the response window from the Posture step; if blank, ask again — don't fall back to a default).

**7. Prior outreach.** Raised informally? When, by whom, in what form? Response so far? Why escalation now?

**8. Distribution.** Delivery method (ask; no default). Signer (from Posture). Copies (internal stakeholders, insurance carrier if tendering pre-demand per house tender-timing, counsel).

## Strategic block (if material or `--full`) — questions 9–14

Offer the explicit skip:

> This is a material demand by the heuristic. The strategic block is where most of the pre-writing value lives. Skipping produces a thinner downstream draft.
>
> - **Answer now** — walk the strategic block (5–7 minutes).
> - **Answer partial** — walk the subset you feel prepared for.
> - **Skip** — proceed to draft with only the core block; the intake records `strategic_block: skipped` and the downstream draft flags `[SME VERIFY: leverage/tone/privilege not captured in intake]` on sections that depend on these answers.

**9. Leverage and BATNA.** What gives us negotiating power (contractual rights, factual leverage, reputational, commercial). What if they refuse — litigate? Go public? Accept a smaller outcome? Their likely BATNA — what's their best alternative? *If they don't think we'll sue, the demand is weak.*

**10. Downside tolerance.** Reputational exposure if public. Precedent risk for other matters. Regulatory / disclosure implications (10-Q item?). Insurance implications (does sending without tendering waive coverage?).

**11. Tone posture trade-off.** Already captured in Posture. Probe the trade-off if the chosen tone is stronger than the facts warrant (or weaker). *Aggressive tone burns the relationship; if you want to keep the business, "measured" is usually right.*

**12. Settlement-communication posture.** Is this letter a protected settlement communication (FRE 408 / state equivalent / non-US) or an assertion of rights that shouldn't be? Protection attaches from **conduct and context**, not from labeling alone. `[SME VERIFY: jurisdiction-specific protection]`.

**13. Privilege filters.** What's in our internal analysis that must NOT appear in the letter? (Unverified facts, doubts about the case, strategic reasoning, prior settlement discussions.) A single badly-worded sentence can waive privilege on related analysis. Be explicit.

**14. Admission and accord-and-satisfaction risk.** Anything that could later be characterized as an admission of fact or liability? Does the demand risk inadvertently satisfying or accepting a separate claim? (E.g., cashing a check marked "payment in full" can end a disputed debt.)

## What this workflow does NOT do

- Draft the letter. That's **Demand Letter Draft** — the two steps are intentionally separate so counsel can pause for business input, outside-counsel consult, or insurance tender between them.
- Decide whether to send. Some intakes end with "actually, don't send — let's negotiate directly." Valid; the intake record still has value.
- Run the conflicts check. If the counterparty is a customer or known entity, flag that conflicts should clear before sending — the actual check lives in **New Matter Intake** or outside this workflow.
