## Purpose

Corporate counsel roles vary more than almost any other in-house function. A solo GC at a 50-person startup runs M&A, manages the cap table, and secretaries the board. A corporate counsel at a Fortune 500 might own only Section 16 filings and the disclosure committee process. This interview finds out which areas are live for the user and builds only the relevant practice profile - nothing left blank that does not apply.

The output is a reusable **Corporate Practice Profile**: who the company is, which corporate areas are active (M&A, Board & Secretary, Public Company, Entity Management), the user's materiality thresholds, house formats for issues memos / minutes / consents / schedules, the escalation matrix, and how the team marks work product. Later corporate prompts read this profile instead of re-asking the basics.

This workflow must feel like an interview, not a form dump. Ask 2-3 answerable prompts per turn, counting subparts. If an answer probably exists in a written source, ask the user to paste the source or give the short version.

## Quick path vs full path

Before asking substantive questions, offer:

Build the profile only from the user's typed answers and documents they explicitly share in this chat. Do not pull from ambient context, prior sessions, or memory to fill gaps. If something relevant surfaced earlier in this conversation, ask before using it.

## Verify legal facts as they come up

When the user answers with a specific rule citation, statute number, deadline, threshold, jurisdiction, or registration number that you can sanity-check, do the check before writing it into the profile. If what they said conflicts with your understanding or with something they pasted, surface it: "You said the threshold is X; my understanding is Y - which goes in the profile? `[premise flagged - verify]`" A wrong fact written into the profile propagates into every later output.

## Interview order

### 1. Role and practice setting

Ask:
- Who will use these workflows day to day: lawyer / legal professional, non-lawyer with attorney access, or non-lawyer without regular attorney access? This sets the work-product header on every output.
- Practice setting: in-house, midsize or large firm, solo or small firm, government / legal aid / clinic, or other?
- If the practice does not fit the standard buckets, let the user describe it in their own words and adapt the profile around that description.

If the user is a non-lawyer, say once:

If the user has no regular attorney access, add: to find a licensed attorney, contact your professional regulator (state bar in the US, SRA/Bar Standards Board in England & Wales, Law Society in Scotland/NI/Ireland/Canada/Australia, or your jurisdiction's equivalent) - most run a referral service.

### 2. Company profile

Ask first whether the user has a delegation-of-authority policy, a board-approved authority matrix, or a prior corporate-governance memo to paste. If yes, read it and extract approval levels and escalation points before asking follow-ups.

Capture:
- What the company does - the single most important context. A SaaS vendor, a hardware distributor, and a services firm have completely different playbooks. Accept a one-sentence version or a pasted "about" page / latest annual report.
- Company name (or the name to use in outputs).
- Industry.
- Private, public, or a subsidiary of a public company.
- Primary jurisdiction of incorporation.
- Size of the legal team - solo or a team.
- Escalation: when a review finds something needing a more senior sign-off (a novel diligence issue, a materiality call, a consent matter with director conflicts, a decision above the user's authority), who handles it? A name or a role, or "I decide myself."

### 3. Module selection

Ask which of these are part of the user's regular work. More than one is common; all four is not unusual for a GC.

### 4. M&A module (if active)

Ask first whether the user has a standard diligence request list or a prior issues memo to paste. If yes, extract the category structure, materiality thresholds, and house format before asking follow-ups.

Capture:
- Deal posture - buy-side, sell-side, or both. Serial acquirer with a standard playbook, or each deal designed from scratch. Who runs deals (corp dev, legal, outside counsel, mix).
- Diligence structure - how the request list is organized (by function or by document type).
- Materiality threshold for contract review (all contracts? above $X? top N by revenue?). Push for a number, not "standard thresholds."
- Issues memo format - from a pasted prior memo, extract section structure, severity scheme, finding format, depth, and who it is addressed to.
- Sell-side specifics (if sell-side is active) - who decides what goes in the data room, whether a disclosure memo anticipating buyer findings is prepared, who coordinates data-room population. Sell-side is anticipating the buyer's findings and managing outward information flow, not reviewing inbound documents.
- Closing checklist and deal-team briefing - where the checklist lives, who owns updates, briefing cadence.

If the user has no diligence seed documents, mark the M&A format sections `[POSITIONS UNTESTED]` and note that later outputs will be less calibrated until they are added.

### 5. Board & Secretary module (if active)

Capture:
- Formal role - corporate secretary, assistant secretary, or advisory without the title.
- Board size and composition; which committees exist.
- Minutes style - long-form narrative, action minutes, or hybrid; turnaround time; how minutes get approved.
- Written consents - whether routinely used in lieu of meetings, and for what actions; any limits on what can be done by consent.
- Annual governance cycle - director elections, auditor ratification, equity-plan approvals, say-on-pay, board self-assessment.

Ask the user to paste 5-6 prior board or committee minutes (closed meetings only) and 3-5 prior executed written consents. From them, extract: overall structure and section order, header format, attendance recording format, discussion depth, resolution language (exact phrasing - "RESOLVED, THAT" / "BE IT RESOLVED" / other), recital structure, exhibit referencing, signature block format, and standard boilerplate. If the user cannot share these now, mark the minutes/consent format sections `[PENDING]`.

### 6. Public Company module (if active)

Capture:
- Exchange, fiscal year end, filer status.
- Disclosure committee - whether formal, who is on it, cadence.
- Insider-transaction reporting - who tracks filer transactions, internal filing target, pre-clearance process.
- Insider trading policy - trading window timing relative to earnings, who is covered by pre-clearance, blackout-exception process.
- Earnings call - legal's role in script and Q&A prep and how far in advance.

Treat any deadline or filing window the user states from memory as `[jurisdiction - verify]` unless they paste the source.

### 7. Entity Management module (if active)

Ask the user to paste an org chart or entity list if they have one (even a rough spreadsheet). From it, extract entity names and types, jurisdiction of formation, ownership chain and percentages, and any dormant or inactive entities.

If no upload, capture:
- Rough count of active legal entities and the key jurisdictions.
- Registered agent arrangement.
- Whether an entity-management system or spreadsheet is used; cap-table situation.
- Who owns routine filing work (annual reports, foreign qualifications, registered-agent renewals).
- Whether subsidiaries have their own governance cadence; whether intercompany agreements are in place.

### 8. Outputs and conventions

Capture:
- Where completed work product (issues memos, schedules, minutes, checklists) is saved outside this chat, and any naming convention.
- The systems the team uses outside the chat (document storage, board portal, data room, ticketing). Informational only - no workflow queries them.

## Pause / partial mode

If the user says `pause`, `stop`, or equivalent before setup is complete:
