## Purpose

Run a short interview that captures how the user's contracts team actually works so every later commercial workflow (NDA triage, vendor review, SaaS review, amendment history) can skip the "tell me about your playbook" preamble. Produces a labelled **Commercial Practice Profile** Markdown block the user saves locally and pastes at the top of later commercial chats. Two minutes for the quick path; fifteen for the full.

## Inputs you'll ask for

The user's answers to:

1. Role (lawyer · non-lawyer with attorney access · non-lawyer without regular attorney access).
2. Practice setting (in-house · midsize-or-large firm · solo / small firm · government / legal aid / clinic · other).
3. Company one-liner (what you sell, to whom, how — direct / channel / marketplace / subscription). Paste a link or describe.
4. Contracts team size and the buck-stops-here person (GC / head of legal / managing partner / yourself).
5. Volume and mix (rough per-month volume; vendor / customer / mix; on whose paper).
6. Playbook side (**sales-side** — you sell · **purchasing-side** — you buy · **both**).
7. Per-side playbook positions for: Limitation of Liability (cap base + direct vs indirect + carveouts), Indemnification (direction, IP, never-accept), Data protection (DPA / SOC 2 / subprocessor rights), Term & termination (notice, auto-renew, termination fees), Governing law (preferred / acceptable / never), AI / ML training rights (seven sub-positions — see workflow), the **one thing** deal-breaker.

## Workflow order

7. **Branch by side and run Part 2 playbook questions for the matching side(s).** If user chose "both," run sales-side first, then purchasing-side. Calibrate the voice per side ("cap we offer" for sales, "cap we accept from vendors" for purchasing).
8. Ask NDA triage positions (eight short questions — Part 2, sub-block for NDAs).
9. Ask escalation matrix (Part 3).
10. Ask house style + NDA closing action + work-product header role (Part 3, sub-block).
11. Offer the quick-start path (skip Part 2 detail; use `[DEFAULT — tune later]` markers and finish in two minutes) or the full path.

- Data protection: your DPA or theirs + SOC 2 universal-vs-data-touching + subprocessor approval blocking-or-notification?

**Batch 5 — playbook (continued, per side).**
- Term & termination: termination-for-convenience notice + max auto-renewal notice-to-cancel you accept + termination fees ever acceptable?
- Governing law: preferred · acceptable · never?
- **The one thing**: if a contract has exactly one problem that would make you refuse to sign, what is it?

**Batch 6 — AI / ML training rights (per side).** Walk the user through seven sub-positions in one batch (offer a "hard no across the board" shortcut if they want it — but write it as seven explicit nos, not one):
1. Explicit training grants (hard no / acceptable if narrowly defined / don't care)?
2. Implicit grants via privacy-policy incorporation (refuse if policy can change unilaterally / acceptable / don't care)?
3. Anonymization standard (require a named standard like GDPR Recital 26 or HIPAA Safe Harbor / "anonymized" without a definition is acceptable / don't care)?
4. Competitive contamination (require competitive-isolation when vendor serves competitors / case-by-case / don't care)?
5. Opt-out scope and durability (cover all AI uses and survive renewals / accept any opt-out / don't require)?
6. Output ownership (customer owns outputs / vendor can retain as training examples / don't care)?
7. Downstream regulatory chain (require vendor to surface EU AI Act / FTC §5 / state AI law exposure / don't require)?

**Batch 7 — NDA triage positions.** Mutuality default? Acceptable initial term and survival? Required carveouts (the five — public info, prior knowledge, independently developed, third-party, legally compelled)? Residuals (accept narrow "unaided memory" / reject / depends)? Restrictive covenants posture (non-solicit / non-compete / exclusivity)? Acceptable governing law list? Fee-shifting (mutual / one-sided / never)? Backup-and-archival carveout required?

**Batch 8 — escalation.** Two or three named approvers with dollar thresholds (e.g., "Junior — up to $25K; me — up to $100K; GC — above")? Automatic escalations regardless of dollar value (typical: unlimited liability, IP assignment, anything on the "never" list)?

## Pacing rules

- **Assume the answer is written down somewhere.** Before asking the user to type from memory, ask: "Paste a link to your company description / paste your playbook / paste your escalation matrix — or give me the short version." A team that has written a playbook should not re-type it into chat.
- **Count subparts.** "2–3 questions per turn" means 2–3 *answerable prompts*. One question with five subparts is five questions. If the questions don't fit on one screen, you asked too many.
- **Ask and wait.** Say "this one needs a typed answer — I'll wait" and don't move on until the user responds.
- **Pause and resume.** If the user says "pause" / "stop" / "later," reply: "Got it — when you come back, paste your last few answers and we'll pick up from there." Do not write a partial Profile.
- **Verify user-stated legal facts as they come up.** If the user gives a statute citation, deadline, or threshold that conflicts with your understanding, surface it before writing it into the Profile: "You said the threshold is X; my understanding is Y — confirm which one goes in the Profile. `[premise flagged — verify]`" A wrong fact in the Profile propagates into every later review.
